By accessing the VaVoca Site located at (http://vavoca.com) and all linked pages owned and operated by VaVoca, Inc., you agree to be bound by these Terms of Service as well as any other guidelines, rules and additional terms referenced herein, and all such guidelines, terms and rules are hereby incorporated herein by this reference (collectively, "Terms of Service"). If you do not agree to abide by these or any future Terms of Service, do not use or access (or continue to use or access) the Service or the Site. It is your responsibility to regularly check the Site to determine if there have been changes to these Terms of Service and to review such changes. The terms "You" and "User" as used herein refer to all individuals and/or entities accessing VaVoca.com for any reason. You agree and understand that these Terms of Service, the VaVoca Site and the VaVoca Services may be modified by VaVoca at any time without prior notice, and such modifications will be effective upon VaVoca's posting of the new terms and/or upon implementation of the new changes on the VaVoca Site. Vavoca Inc. may revise these terms at any time by posting an updated version to this web page. You should visit this page periodically to review the most current Terms of Service because they are binding on You. You agree to review the Terms of Service periodically so that you are aware of any modifications. Your continued use of the VaVoca Service after any modifications indicates your acceptance of the modified Terms of Service. Unless expressly stated otherwise by VaVoca, any new features, new services, enhancements or modifications to the VaVoca Service implemented after your initial access to the Site shall be subject to these Terms of Service.

Eligibility of Use

By using the Service or the Site, you represent and warrant that you are 18 or older, and that you agree to and to abide by all of the Terms of Service. Should you be under the age of 18 or the applicable legal age in your jurisdiction, you may use the VaVoca Service under the supervision of your parent or guardian who has agreed to the Terms of Service. If you do not qualify, do not use the Site. Membership in the VaVoca Service is void where prohibited by applicable law, and the right to access the VaVoca Site is revoked in such jurisdictions. You must be 13 or older to use the site, in compliance with the Children's Online Privacy Protection Act (COPPA). By using the VaVoca Site and VaVoca Services, you represent and warrant that You have the right, authority, and capacity to enter into these Terms of Service and to abide by all of the terms and conditions set forth herein. The VaVoca website is administered in the US and intended for US Users; any use outside of the US is at the User's own risk and Users are responsible for compliance with any local laws applicable to their use of the Service or the Site.


Use of this Site

VaVoca, Inc. on-line services which are available at the VaVoca, Inc. Site is an on-line community designed to facilitate the connection of service providers and those in need of these services. VaVoca will also allow posting and sharing of personal reviews from VaVoca Users. You are solely responsible for your interactions with other Users of VaVoca. VaVoca provides no guarantees or warranties as to the conduct of Users on its Site. In no event shall VaVoca be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the VaVoca Site, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications, meetings, or financial transactions with other Users of VaVoca, persons you meet through VaVoca, or people who identify you through VaVoca. You agree to take all reasonable precautions in interactions, particularly if you decide to meet or transact business with any person.

Registration and Security

In order to use or access some of the VaVoca Services, you may be required to register with VaVoca and to select a password and user name, which shall consist of an email address you own and use ("User ID"). If you sign-up, you agree to provide VaVoca with accurate, complete, and updated information. Failure to do so shall constitute a breach of these Terms of Service, which may result in immediate termination of your account. You may not: (i) enter, select or use a false name or an email address owned or controlled by another person with the intent to impersonate that person, or, (ii) use as a User ID a name subject to any rights of a person other than yourself without appropriate authorization. VaVoca reserves the right to refuse registration of, or cancel a User ID at its discretion. You shall be responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your User ID and password. Any User ID and password provided to you for your access to the VaVoca Site shall be for your personal use only. You agree to (a) immediately notify VaVoca of any unauthorized use of your User ID or password, and (b) ensure that you exit from your account at the end of each session.

Content

You are solely responsible for the content that you publish or display (hereinafter, "post") on the VaVoca Site, or transmit to other users by telephone, mail, electronic means or otherwise. You will not post on VaVoca Site, or transmit to other users, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to VaVoca Inc., or to any other user. If information provided to VaVoca Site, or another user, subsequently becomes inaccurate, misleading or false, you will promptly notify VaVoca of such change.

You understand and agree that VaVoca Inc. may review and delete any content, messages, photos or portraits (collectively, "Content"), in each case in whole or in part, that in the sole judgment of VaVoca violate these Terms of Service or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of other users and members.

By posting Content to any public area of the VaVoca Site, you automatically grant, and you represent and warrant that you have the right to grant, to VaVoca Inc., its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing. You understand that you are prohibited from posting, distributing, or reproducing in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights, and further represent that you will not do so. You may not submit any Content or material that infringes, misappropriates or violates the intellectual property, publicity, privacy or other rights of any party, and warrant that public posting and use of your content by VaVoca Site will not infringe or violate the rights of any third party.

VaVoca Inc. reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Site and terminating the membership of such violators. You understand and agree that VaVoca may review and delete any business listings (including business name, business website, address, phone, fax, distance, reviews, rating, reviews) or other posted Content that in the sole judgment of VaVoca Inc. violates these Terms of Service or which might be offensive, illegal, or that might violate the rights of, harm, or threaten the safety of other users or members of the VaVoca Site and/or other website users. You are solely responsible for your ratings and reviews of businesses and service providers listed on VaVoca. VaVoca reserves the right, but has no obligation, to monitor disputes between you and any entity or individual you have reviewed.

You understand and agree that VaVoca Inc. has the right to transfer, assign, distribute, or exploit any and all information transmitted by you or posted by you to any VaVoca Site, at its sole discretion and without limitation. This right extends, but is not limited to, VaVoca’s right to revoke job leads or postings that have been directed to particular users and to reassign, sell or otherwise exploit those job leads or postings to other users or to public portions of the site, as VaVoca deems appropriate. The following is a partial list of the kind of Content that is illegal or prohibited on the VaVoca Site. It includes, but is not limited to, Content that:
* is patently offensive to the online community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
* falsely expressly or impliedly states that such Content or material is sponsored or endorsed by VaVoca Inc.;
* is unlawful or that promotes or encourages illegal activity;
* intimidate or harass another;
* promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
* upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
* provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses; and
* solicits passwords or personal identifying information for commercial or unlawful purposes from other users.
You may not include in your VaVoca public job or service postings any telephone numbers, street addresses, last names, URLs or email addresses. All personal information that you provide for your account information must be truthful, accurate and kept updated.


Specific Prohibited Activities

VaVoca reserves the right to terminate your membership if you have misused or violated these Terms Of Service. This includes and is not limited to unlawful or illegal acts. The following list includes a partial list of examples of actions that you may not engage in when using VaVoca Site:
* Provide information that is false or intentionally misleading;
* Harasses or advocate harassment of another person;
* Harvest or collect email addresses or other contact information of other users from the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
* Violate the intellectual property or other rights of any person, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights;
* Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
* Post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
* Seek or recommend providers of material that exploits people under the age of 18 in a sexual or violent manner, or seeks or recommends providers that solicit personal information from anyone under 18.

Limitation on Liability

IN NO EVENT WILL VAVOCA INC. OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE OR THE SERVICE, ANY PLATFORM APPLICATIONS OR ANY OF THE SITE CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM THE SITE, EVEN IF VAVOCA INC. IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE VAVOCA INC’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO VAVOCA INC. FOR THE SERVICE DURING THE TERM OF MEMBERSHIP, BUT IN NO CASE WILL THE VAVOCA INC’S LIABILITY TO YOU EXCEED $100. YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO VAVOCA INC. FOR THE SERVICE, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM VAVOCA INC., REGARDLESS OF THE CAUSE OF ACTION.

The users who access and use the VaVoca Site are in no way employed by VaVoca Inc. VaVoca is an information portal whereby individuals supply information concerning their qualifications and availability for work only. Any party using this Site to identify and retain the services of providers does so at their own risk. VaVoca does not conduct background checks, verify employment eligibility, or screen individuals in any way. By accessing and using this Site you are solely responsible for complying with all applicable laws, including but not limited to, state and federal wage and hour law, other employment-related laws including anti-discrimination ,work eligibility, and state and federal tax laws.

Reviews and Comments provided on VaVoca are general information, and are not intended to substitute for informed professional medical, psychiatric, psychological, tax, legal, investment, accounting, or other professional advice. VaVoca Inc. does not endorse, and expressly disclaims liability for any product, manufacturer, distributor, service or service provider mentioned or any opinion expressed in answers or comments.

In the event that any provision of these Terms of Service that seeks to absolve VaVoca Inc. and the other releases from liability is held to be invalid or unenforceable in whole or in part, you expressly agree that the aggregate joint and several liability of VaVoca Inc. and the other releases with respect to any released claim will in no event exceed the total amount, if any, that you have paid to VaVoca Inc. pursuant to these Terms of Service.

SMS/Text Message Feature

VaVoca does not profit in any way from your SMS messages. We do caution people to check with their providers to ensure that they are covered in their text plans before selecting this feature. Carrier charges may apply and VaVoca is in no way responsible for your incurred fees.

Restrictions on Rights to Use

You agree that you or any third party shall not:
* modify, adapt, translate, or reverse engineer any portion of the VaVoca Site and/or VaVoca Service;
* remove any copyright, trademark or other proprietary rights notices contained in or on the VaVoca Site and/or VaVoca Service or in or on any Content or other material obtained via the VaVoca Site and/or VaVoca Service;
* use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve or index any portion of the VaVoca Site and/or VaVoca Service;
* access, retrieve or index any portion of the VaVoca Site and/or VaVoca Service for purposes of constructing or populating a searchable database of business reviews;
* collect any information about other users or members (including usernames and/or email addresses) for any purpose other than to solicit and share reviews with other VaVoca users or members;
* reformat or frame any portion of the web pages that are part of the VaVoca Site and/or VaVoca Service;
* create user accounts by automated means or under false or fraudulent pretenses;
* create or transmit unwanted electronic communications such as "spam" to other users or members of the VaVoca Site and/or VaVoca Service or otherwise interfere with other user's or member's enjoyment of the VaVoca Site and/or VaVoca Service;
* transmit any viruses, worms, defects, Trojan horses or other items of a destructive nature;
* use of the VaVoca Site or VaVoca Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including that are deemed threatening or obscene;
* copy or store any Content offered on the VaVoca Site for other than your own use;
* use any device, software or routine that interferes with the proper working of the VaVoca Site and/or VaVoca Service, or otherwise attempt to interfere with the proper working of the VaVoca Site and/or VaVoca Service;
* take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on our IT infrastructure;
* use the VaVoca Site and/ or VaVoca Service, intentionally or unintentionally, to violate any applicable local, state, national or international law; or
* collect or store personal data about other users in connection with the prohibited activities described in this paragraph.
